FirmProof

These Terms of Service ("Terms") govern your use of firmproof.io, firmproof.tech, and any product, service, or content provided by FirmProof, currently operated by its founder ahead of incorporation as FirmProof, Inc., a Delaware corporation ("FirmProof," "we," "us," or "our"). By using our site or services, you agree to these Terms. If you do not agree, do not use our site or services.

If you are using FirmProof under a separate signed agreement (a Master Services Agreement, Design Partner Agreement, Pilot Agreement, or similar), that agreement governs the specific services covered by it and prevails over these Terms to the extent of any conflict.

Who may use FirmProof

You must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are using FirmProof on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you personally and the entity.

FirmProof is a business-to-business service. It is not intended for personal, family, or household use.

Use of the website

You may use firmproof.io and firmproof.tech to learn about FirmProof, contact us, book meetings, download materials we make available, and use interactive features we provide. You agree not to:

  • Use the site or services for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the site or its systems
  • Interfere with or disrupt the site or servers, including through denial-of-service attacks
  • Use automated means (bots, scrapers, crawlers) to access the site except for well-behaved search-engine indexing, and except as we may separately authorize in writing
  • Reverse engineer, decompile, or disassemble any FirmProof software except to the extent applicable law prohibits us from restricting this
  • Remove or alter any proprietary notices on FirmProof materials
  • Use FirmProof materials, brand, or content to imply endorsement, partnership, or affiliation not authorized in writing

Our content and intellectual property

The site and its content, including text, graphics, logos, icons, images, and software, are owned by FirmProof or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the site for your internal business evaluation purposes only. All other rights are reserved.

The "FirmProof" name and logo are trademarks of FirmProof You may not use them without our prior written consent.

Content you submit

If you submit information, feedback, ideas, or other content to FirmProof (through a form, email, meeting, or otherwise), you grant FirmProof a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, copy, modify, and incorporate that content into our business and products. You represent that you have the right to submit the content and that it does not infringe any third-party rights.

This paragraph does not apply to your confidential business information shared under an NDA or your data governed by a signed engagement agreement. Those are handled per the applicable agreement.

Third-party services

The site may contain links to third-party websites or services. We do not control or endorse them and are not responsible for their content or practices. Your use of any third-party service is governed by that service's own terms.

Fees and payment

The current website is primarily informational and does not charge fees for its use. When we introduce paid products or services, pricing and payment terms will be presented at the point of purchase and will supplement these Terms.

Disclaimers

The site and services are provided "as is" and "as available." To the maximum extent permitted by law, FirmProof disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.

FirmProof does not warrant that:

  • The site or services will be uninterrupted, timely, secure, or error-free
  • Any information provided on the site is accurate, complete, or current
  • Any defects will be corrected

Advisory nature of FirmProof outputs. FirmProof's product provides advisory outputs based on the information supplied to it. FirmProof outputs are not legal advice, accounting advice, tax advice, or a substitute for professional judgment. You are responsible for the decisions you make based on any FirmProof output, including for obtaining independent professional advice where appropriate.

Limitation of liability

To the maximum extent permitted by law, FirmProof and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to your use of the site or services, whether based on warranty, contract, tort, statute, or any other legal theory, even if FirmProof has been advised of the possibility of such damages.

In any event, FirmProof's total cumulative liability arising from or related to the site or services will not exceed the greater of (a) the amount you have paid to FirmProof in the 12 months preceding the claim, or (b) one hundred U.S. dollars (US$100).

The limitations in this section apply to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless FirmProof and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) your use of the site or services in violation of these Terms, (b) your violation of any law or third-party right, or (c) any content you submit to FirmProof in violation of the representations in "Content you submit" above.

Termination

We may suspend or terminate your access to the site or any service at any time, with or without notice, for any reason. Provisions of these Terms that by their nature should survive termination will survive, including without limitation the intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising from or related to these Terms or your use of the site or services will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by prominent notice on firmproof.io and update the "Last updated" date at the top. Continued use of the site or services after the effective date of any change constitutes your acceptance of the updated Terms.

Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any separately signed agreement between you and FirmProof, constitute the entire agreement between you and FirmProof regarding the site and services.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party will be liable for delays or failures due to causes beyond its reasonable control, including acts of God, war, terrorism, natural disaster, government action, or interruption of the internet.
